6. Executive Committee

  1. The Executive Committee consists of the Officers of the Branch.
  2. The Executive Committee advises and assists the President in the duties of that office.
  3. The Executive Committee may make decisions respecting the day to day operations of the Branch including, without limiting the generality of the foregoing,
    1. approving the Branch budget and expenditures, and those of its committees and sections; and
    2. approving the adoption or implementation of programs, policies and activities related to the objects of the Branch and the Association.
  4. Three Executive Committee members constitute the quorum necessary for the transaction of business. Consensus will be the primary decision-making process. If a decision by consensus is unattainable on a specific issue, conflict or situation, the Executive Committee will move to a majority vote decision-making process. Each member has one vote.
  5. Where a vote is required for approval of a resolution by the Executive Committee, the majority of those participating prevails. If a majority is not achieved for any reason, the motion may be adjourned to the next meeting of the Executive Committee at which another vote maybe made, or to the next general meeting.
  6. Any vacancy in the Executive Committee may be filled by the remaining members of the Executive Committee until the next election. Where the Immediate Past President is unable to fulfill the duties of that office, the remaining members of the Executive Committee may elect a Member-at-Large to serve until the next election.
